WALKER INTEGRATION WARRANTY STATEMENT
Walker Integration, (hereinafter referred to as "Walker") warrants to Buyer that goods bearing the Walker Integration name (hereinafter referred to as the "Goods") will conform to Walker's published specifications in effect as of the date of shipment and will be free from substantial defects in materials and workmanship under normal use, given proper installation and maintenance, for the period listed in Attachment A.Buyer must promptly notify Walker of any claimed defect in the Goods. If the defect was caused by the freight shipper, the notification must be within 48 hours. Walker or its agent may inspect the Goods on the Buyer's premises. Goods returned to Walker under this warranty must be shipped prepaid by Buyer.
Walker assumes no liability with respect to defects caused by modification, repair, installation, operation, negligence, or other improper use of the Goods.
All equipment not bearing the Walker Integration name is supplied with the Original Equipment Manufacturer's (OEM) warranty. Walker will assign or otherwise make available to Buyer any warranty of any item which has been assigned by an OEM and which Walker has the right to so assign or otherwise make available to Buyer. In addition, Walker has no liability for equipment furnished by Buyer nor does this warranty cover any copy of or update to user manuals for the Goods.
Walker's entire liability and Buyer's exclusive remedy, whether in contract, tort or otherwise, for any claim related to or arising out of the Buyer's purchase or use of Goods, shall be correction of defects by repair, replacement, or credit, at Walker's discretion. Refurbished material may be used to repair or replace the Goods. Walker has no liability with respect to claims relating to or arising from the use of equipment not bearing the Walker Integration name.
No agent, distributor, or representative is authorized to make any warranties on behalf of Walker or to assume for Walker any other liability in connection with any Goods.
THERE ARE NO WARRANTIES FOR ANY PURCHASE OR USE OF WALKER'S GOODS BY BUYER WHICH EXTEND BEYOND THE DESCRIPTION OF THE FACE HEREOF. ALL OTHER WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY EXPRESS AND IMPLIED WARRANTIES AND ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED AND EXCLUDED BY WALKER.
Disclaimer of Liability
Walker will not be liable for injuries or damage to persons or property resulting from any cause whatsoever, with the exception of injuries or damages caused by the gross negligence of Walker. This limitation applies to all Goods during and after the warranty period.
In no event shall Walker be liable for any damages from loss of use or loss of profits and Walker further disclaims any and all liability for indirect, incidental, special, consequential, or other similar damages.
In the event any remedy fails of its essential purpose, or in any other event, Walker's aggregate liability shall not exceed the amount actually paid to Walker by Buyer for the affected Goods.
Attachment A
Warranty Information The Warranty begins the date the product is shipped from Walker's facility. Product and Service warranty periods are stated within each division and product line:
